2. Definitions

• "Client" or "You" refers to the individual or entity using our Services
• "Services" means all digital marketing, creative design, and related services provided by THE007
• "Deliverables" means the final work products provided to the Client
• "Project" refers to any work engagement between Client and THE007
• "Agreement" means the contract formed by these Terms and any project-specific proposals

3. Our Services

3.1 Scope of Services

THE007 Creative Studio provides the following services:

• Digital Marketing Strategy & Execution
• Brand Design & Identity Development
• Social Media Management & Marketing
• Website Development & Design
• Content Creation (Graphic, Video, Written)
• SEO & Digital Advertising
• Photography & Videography
• Consulting & Training

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of Services.

3.3 Service Availability

While we strive to ensure continuous availability, we do not guarantee that our Services will be uninterrupted or error-free. We may experience downtime for maintenance, updates, or due to factors beyond our control.

4. Client Obligations

4.1 Accurate Information

You agree to provide accurate, current, and complete information when engaging our Services. You are responsible for maintaining the accuracy of this information.

4.2 Timely Communication

You agree to:

• Respond to our communications within reasonable timeframes
• Provide necessary materials, content, and feedback promptly
• Review and approve deliverables within agreed timelines
• Inform us of any concerns or issues immediately

4.3 Cooperation

Client delays in providing information, feedback, or approvals may result in project timeline extensions and potential additional charges.

4.4 Prohibited Uses

You agree NOT to use our Services to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Distribute harmful, offensive, or inappropriate content
• Engage in fraudulent or deceptive practices
• Promote illegal products or services
• Spam or send unsolicited communications

5. Payment Terms

5.1 Fees and Pricing

All fees are specified in project proposals or service agreements. Prices are in Indian Rupees (INR) unless otherwise stated.

5.2 Payment Schedule

• Advance payment is required to commence work
• Payment milestones are outlined in project agreements
• Final payment is due before delivery of final files
• Subscription services are billed in advance for the billing period

5.3 Accepted Payment Methods

We accept payments via:

• Credit/Debit Cards
• UPI (Unified Payments Interface)
• Net Banking
• Digital Wallets (Paytm, PhonePe, Google Pay, etc.)
• Bank Transfer/NEFT/RTGS

5.4 Late Payments

Late payments may result in:

• Suspension of ongoing work
• Late payment fees (2% per month on overdue amount)
• Withholding of deliverables
• Cancellation of project

5.5 Taxes

All fees are exclusive of applicable taxes (GST, etc.). Taxes will be added to invoices as per Indian tax laws.

6. Intellectual Property Rights

6.1 Ownership Before Payment

All work created by THE007 remains our exclusive property until full payment is received.

6.2 Transfer of Rights

Upon receipt of full payment, ownership of agreed deliverables transfers to the Client, with the following conditions:

• Rights transfer is limited to the specific deliverables outlined in the agreement
• Transfer is for the agreed usage scope (local, national, international, etc.)
• Source files may require additional fees

6.3 Our Portfolio Rights

We retain the right to:

• Display completed work in our portfolio
• Use work for marketing and promotional purposes
• Include work in case studies and presentations
• Create derivative works for our own promotional use

If you require confidentiality, please inform us before project commencement.

6.4 Third-Party Content

Client is responsible for obtaining necessary licenses, permissions, and rights for any third-party content provided to us. Client indemnifies THE007 against any claims arising from unauthorized use of third-party content.

6.5 Stock Resources

We may use licensed stock photos, fonts, icons, or other resources in our work. Additional licensing fees may apply for extended or commercial use.

7. Project Workflow

7.1 Project Initiation

1. Initial consultation and requirement gathering
2. Proposal creation with scope, timeline, and pricing
3. Client approval and advance payment
4. Project kickoff and execution

7.2 Revisions

Each service includes a specified number of revision rounds as outlined in the project agreement. Additional revisions may incur extra charges.

7.3 Approvals

Client approvals at each milestone are considered final. Major changes after approval may be treated as new work and billed separately.

7.4 Timeline Extensions

Timelines may be extended due to:

• Client delays in feedback or materials
• Scope changes requested by Client
• Force majeure events
• Mutual agreement

8. Confidentiality

We respect the confidentiality of client information. We agree to:

• Keep all proprietary client information confidential
• Not disclose sensitive business information to third parties
• Use information only for the purpose of providing Services
• Maintain reasonable security measures to protect data

For projects requiring strict NDA, a separate Non-Disclosure Agreement can be signed.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that:

• Services will be performed professionally and competently
• Original work created by us does not infringe third-party rights
• We have the right to provide the Services

9.2 Disclaimer of Warranties

9.3 External Factors

We are not responsible for:

• Third-party platform changes (Google, Facebook, Instagram, etc.)
• Algorithm updates affecting performance
• Market conditions or competition
• Actions by Client after project completion

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid by Client for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• Client assumes all risks associated with their business decisions

11. Indemnification

Client agrees to indemnify and hold THE007 harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Client's violation of these Terms
• Client's use of our deliverables
• Infringement claims related to Client-provided content
• Client's business operations or products
• Third-party claims related to Client's use of Services

12. Termination

12.1 Termination by Client

Client may terminate services subject to our Cancellation and Refund Policy. Client remains liable for work completed and expenses incurred.

12.2 Termination by THE007

We may terminate services if:

• Client breaches these Terms
• Payment is not received as per schedule
• Client engages in abusive or unethical behavior
• Project scope becomes unreasonable

12.3 Effects of Termination

Upon termination:

• All outstanding payments become immediately due
• We will deliver work completed to that point
• Intellectual property rights remain with THE007 until full payment
• Both parties' confidentiality obligations continue

13. Dispute Resolution

13.1 Good Faith Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation.

13.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing legal action.

13.3 Jurisdiction

These Terms shall be governed by the laws of India. Any legal action shall be brought exclusively in the courts of India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of Services after changes constitutes acceptance of modified Terms.

For ongoing projects, the Terms in effect at the time of project commencement shall apply.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between parties.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

15.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

Client may not assign these Terms without our written consent. We may assign our rights to any third party.

15.5 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.
